Terms & Conditions for The Guild of Influencers Limited.
1. Eligibility
- You must be at least 18 years old of age.
- You must own and operate a valid TikTok account in good standing and within the Tik Tok terms of service.
- You must have the legal right to enter into this Agreement.
- You must be able to prove that you have the legal right to work in the United Kingdom and Great Britain if asked by the agency.
2. Agency Services
- The Agency will provide support in brand collaborations, sponsorships, growth strategies, and other monetization opportunities.
- The Agency may act as an intermediary between you and third-party brands.
- The Agency is not responsible for TikTok’s platform decisions, algorithm changes, or account enforcement actions.
3. Creator Obligations
- You must always comply with TikTok’s Community Guidelines and Terms of Service.
- You agree to create and post content in a professional manner.
- You agree not to engage in fraudulent, misleading, or unlawful activities, or any activity that is not allowed or unpermitted by Tik Tok’s terms of services, or any other platforms Terms of services and rules.
- You agree to provide accurate information to the Agency (including payment details).
- Any changes in the guidelines, or other platform guidelines will be sent by agency in writing to the creator.
4. Payments & Revenue Sharing
- Any revenue generated through Agency-managed deals (e.g., brand partnerships, campaigns) will be shared as follows:
- - [75 %] to the Creator
- - [25 %] to the Agency
- Payments will be made within [30] days after receipt of funds from the brand/partner.
- The Creator is responsible for taxes related to their earnings.
- It is understood that TikTok will pay the creator’s directly, and the agency has no control over the timings, amounts, disqualifications, violations, reduce of amount or any other issue that may occur in relation to TikTok related payments.
5. Content Ownership & Licensing
- The Creator retains ownership of all original content created.
- By joining the Agency, you grant the Agency a non-exclusive, royalty-free license to use, promote, and share your content for the purpose of securing deals and marketing opportunities.
- Any brand-specific content created under a campaign may be subject to additional agreements.
6. Exclusivity
- The Creator agrees to work exclusively with the Agency for all TikTok-related brand deals, sponsorships, and partnerships during this Agreement. Any opportunities must be routed through the Agency.
7. Indemnity
- The Creator takes full responsibility for their content and conduct on TikTok.
- If the Creator breaches TikTok’s Terms of Service, Community Guidelines, or any law, and such breach results in claims, damages, or costs against the Agency, the Creator agrees to indemnify, defend, and hold the Agency harmless against all liabilities, expenses, and losses arising from such breach.
8. Breach & Remedies
- If the Creator breaches any part of this Agreement, including but not limited to TikTok policies, confidentiality obligations, or exclusivity terms, and such breach causes reputational damage, financial losses, or other harm to the Agency:
- The Agency may seek compensation or negotiate a settlement with the Creator.
- The Agency may suspend or terminate the Creator’s access to opportunities, campaigns, or support.
- . The Creator agrees to cooperate fully in resolving any claims, disputes, or actions arising from the breach.
- This clause is in addition to any other legal rights the Agency may have under this Agreement or applicable law.
9. Confidentiality & Non-Disclosure
- The Creator agrees not to disclose, share, or misuse any confidential information obtained through the Agency.
- Confidential Information includes but is not limited to: brand contracts, campaign details, pricing, payment terms, agency strategies, internal communications, and non-public information about the Agency or its partners.
- Confidential Information may only be used for purposes directly related to fulfilling obligations under this Agreement.
- This obligation of confidentiality remains in effect during the term of this Agreement and for [2 years] after its termination, unless otherwise released in writing by the Agency.
- The Creator acknowledges that unauthorized disclosure may cause harm to the Agency, and agrees that the Agency may seek legal remedies, including injunctions, in addition to damages.
10. Term & Termination
- This Agreement remains in effect until terminated by either party with [30 days’ written notice].
- The Agency may terminate this Agreement immediately if the Creator breaches TikTok policies, this Agreement, or engages in harmful behavior.
- Upon termination, pending payments (if any) will still be processed according to Section 4.
11. Limitation of Liability
- The Agency is not liable for losses resulting from TikTok account suspension, brand cancellations, or third-party actions.
- The Creator agrees to indemnify and hold the Agency harmless from any claims arising out of their content or conduct.
12. Governing Law
- This Agreement will be governed by the laws of The United Kingdom and Great Britain.
- Any disputes shall be resolved in the courts of the courts of England and Wales and/or the courts of Scotland.
13. Acceptance
- By joining the Agency’s TikTok Creator Network, you acknowledge that you have read, understood, and agreed to these Terms & Conditions.
14. Non-Employment / Independent Contractor
- Creators joining The Guild of Influencers Limited are independent contractors and not employees of the Agency.
- Nothing in this Agreement creates an employment relationship, partnership, joint venture, or agency between the Creator and the Agency.
- Creators are responsible for their own taxes, social security, insurance, and any other obligations arising from income received.
- The Agency is not responsible for providing benefits typically associated with employment, such as health insurance, paid leave, or retirement benefits.
- The Creator is free to work for other parties, except as restricted by the Exclusivity Clause.
- The Creator must have the rights to work in the United Kingdom and Great Britain and should not enter into any agreement with the agency if they do not have documentation to prove this if asked by the agency.
