1. Who Can Join
- You must be 18+ (or legal adult in your country).
- Your TikTok account must follow TikTok’s rules.
2. What We Do
- We connect you with brands, campaigns, and growth opportunities.
- We support you in building and monetizing your TikTok presence, especially in Live space.
3. Your Responsibilities
- Create and post content professionally.
- Follow TikTok’s Community Guidelines.
- Be honest with us and provide accurate info (like payment details).
4. Payments
- When we secure deals for you, earnings are split:
- - [75%] goes to you
- - [25%] goes to us
- Payments are made within [30] days after we get paid from the brand.
- You are responsible for your own taxes.
- You understand that TikTok pays you directly for TikTok Live, and we, the agency, have no responsibility or position for any delays, reductions, incompletions, liabilities etc.
5. Content Ownership
- You own your content.
- You give us permission to share it with brands and use it to secure deals, as well as internal and external marketing or promotion for the agency.
6. Exclusivity
- You will Work exclusively with The Guild Of Influencers Limited for all TikTok-related brand deals and all agency related activities during this agreement.
7. Indemnity
- You take responsibility for your content and conduct on TikTok.
- If you breach TikTok rules and it causes claims against the Agency, you agree to compensate the Agency. (see below: 9. Breach and remedies)
8. Non-Disclosure (Confidentiality)
- Do not share or misuse any confidential information from the Agency.
- This includes brand contracts, campaign details, payment terms, and internal strategies.
- This obligation continues even after our partnership ends.
9. Breach & Remedies
- If the Creator breaches any part of this Agreement, including but not limited to TikTok policies, confidentiality obligations, or exclusivity terms, and such breach causes reputational damage, financial losses, or other harm to the Agency:
- The Agency may seek compensation or negotiate a settlement with the Creator.
- The Agency may suspend or terminate the Creator’s access to opportunities, campaigns, or support.
- The Creator agrees to cooperate fully in resolving any claims, disputes, or actions arising from the breach.
- This clause is in addition to any other legal rights the Agency may have under this Agreement or applicable law.
10. Ending Our Partnership
- Either party can end this with [30 days] notice.
- The Agency may end it immediately if you break TikTok rules or harm our reputation.
12. Other Legal Terms
- We aren’t responsible if TikTok bans/suspends your account or if brands cancel or postpone deals and agreements. (We will try in good faith to achieve compensation)
- Local laws of United Kingdom and Great Britain apply to these terms.
13. Non-Employment / Independent Contractor
- Creators joining The Guild Of Influencers Limited are independent contractors and not employees of the Agency.
- Nothing in this Agreement creates an employment relationship, partnership, joint venture, or agency between the Creator and the Agency.
- Creators are responsible for their own taxes, social security, insurance, and any other obligations arising from income received.
- The Agency is not responsible for providing benefits typically associated with employment, such as health insurance, paid leave, or retirement benefits.
- The Creator is free to work for other third - parties, except as restricted by the Exclusivity Clause.

- The Agency may act as an intermediary between you and third-party brands.
- The Agency is not responsible for TikTok’s platform decisions, algorithm changes, or account enforcement actions.
